Terms of Service

1. Agreement

By visiting perchai.app, downloading materials we make available, or using the Perch application at app.perchai.app (together, the “Services”), operated by Perch AI (“we,” “us,” or “our”), you agree to these Terms of Service and our Privacy Policy. If you do not agree, do not use the Services. If you use the Services on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

2. The Services

Perch AI provides a public marketing site and a product host for Terminal-style workspaces, including chat, artifacts, AI features, and account surfaces. The product is offered through several plans, including a free Starter plan, a BYO (bring-your-own-key) plan, a paid Pro plan, and Enterprise arrangements. We may add, change, limit, suspend, or discontinue plans, features, models, and included usage amounts at any time, including during beta or early-access periods, and no specific model, capacity, output, or result is guaranteed. During beta or early-access periods, features and stored data may also change, be reset, or be removed. The Services are provided on an as-is and as-available basis.

3. Eligibility and access

The product at app.perchai.app is intended for authorized users only. Signing in does not by itself grant product access; you must hold an active membership or plan, complete plan selection, or redeem a valid access code. You must be of legal age to form a binding contract in your jurisdiction. We may suspend or revoke access at any time for security, abuse, non-payment, or operational reasons.

4. Accounts

You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us promptly at support@perchai.app if you suspect unauthorized access.

5. Plans, billing, and subscriptions

Certain plans are paid. By selecting a paid plan you authorize the charges described below.

• Subscription and auto-renewal. The Pro plan is a recurring subscription billed in advance on a monthly basis. It renews automatically at the then-current rate at the end of each billing period until you cancel. By subscribing, you authorize us and our payment processor to charge your payment method on each renewal.
• Pricing. The Pro plan is offered at the price displayed at checkout (currently USD $20 per month, subject to any promotional or early-access discount that applies to your account). Prices exclude taxes unless stated; you are responsible for any applicable sales, use, VAT, or similar taxes.
• Payment processing. Payments are processed by our third-party payment processor (Stripe). We do not store full payment-card details. Your use of payment features is also subject to the processor’s terms.
• Cancellation. You may cancel at any time from your account billing settings. Cancellation stops future renewals; your paid features remain active through the end of the current paid period, after which your account is downgraded to the Starter plan.
• No refunds. Except where required by applicable law, payments are non-refundable and we do not provide refunds or credits for partial billing periods, unused capacity, or features not used.
• Changes to pricing and plans. We may change subscription prices, plan features, included usage amounts, and available models at any time. For an increase to the recurring price you pay, we will give advance notice before it takes effect; other changes may take effect without notice. Your continued use after a change takes effect constitutes acceptance.
• Failed payment. If a charge fails, we may retry, suspend paid features, or downgrade your account to the Starter plan until payment is resolved.

6. Usage, metering, and fair use

Plans include defined usage allowances, which may be metered (for example, in Perch Tokens or by model usage) and reset on a calendar-month basis. Where a plan is described as providing “unlimited” usage, that usage is subject to fair use: it is intended for ordinary individual or organizational use and not for automated bulk processing, resale, sharing across multiple users, or activity that materially exceeds typical usage or burdens the Services. To protect and maintain the Services, we reserve the right to set and apply reasonable usage ceilings, as well as rate, capacity, and concurrency limits, and to throttle, suspend, downgrade, or require an upgrade for usage that we determine, acting reasonably, to be abusive, automated, or inconsistent with fair use. We may change these limits, included usage amounts, and the models available on any plan at any time. Bring-your-own-key (BYO) usage may rely on your own third-party model credentials, and you are responsible for your use and costs under those providers’ terms.

7. Acceptable use

You agree not to:

• violate applicable law or third-party rights;
• probe, scan, or test the vulnerability of the Services without written permission;
• interfere with authentication, access controls, or infrastructure;
• upload malware or use the Services to distribute spam or unlawful content;
• misuse access codes, share credentials, or attempt to bypass membership or plan controls;
• use the Services to develop competing products by systematically extracting proprietary interfaces or non-public documentation; or
• harass, threaten, or abuse other users or Perch AI personnel.

8. Your content

You retain ownership of content you submit. You grant Perch AI a limited license to host, process, and display your content solely to operate and improve the Services. You represent that you have the rights necessary to provide your content and that it does not violate these Terms.

9. AI features; no professional advice

The Services use AI to generate outputs, including summaries, analyses, drafts, and citations or references to sources. AI outputs may be inaccurate, incomplete, or misleading, and any citations or sources provided are aids to your own review, not a guarantee of accuracy or authenticity. You are responsible for independently reviewing and verifying all outputs, and any cited sources, before relying on them.

The Services are a tool and do not provide legal, financial, tax, accounting, medical, or other professional advice, and no output should be treated as such. Use of the Services does not create an attorney–client, fiduciary, or other professional relationship between you and Perch AI. Do not submit sensitive personal data or regulated information unless you are authorized to do so and have approved its use for your organization.

10. Confidentiality

Non-public product features, documentation, and access mechanisms are confidential. Do not disclose them outside your organization without our prior written consent.

11. Intellectual property

The Services, including software, design, and branding, are owned by Perch AI or its licensors and protected by intellectual property laws. These Terms do not grant you any right to use our trademarks except as necessary to use the Services.

12. Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES OR ANY AI OUTPUT WILL BE ACCURATE, UNINTERRUPTED, OR ERROR-FREE.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PERCH AI WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES. OUR AGGREGATE LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF USD $100 OR THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM.

14. Indemnity

You will defend and indemnify Perch AI against claims arising from your content, your use of the Services, or your violation of these Terms.

15. Termination

You may stop using the Services at any time. We may suspend or terminate access with or without notice. Sections that by their nature should survive termination—including payment obligations, confidentiality, intellectual property, disclaimers, limitation of liability, and indemnity—will survive.

16. Governing law and disputes

These Terms are governed by the laws of the State of Georgia, USA, without regard to conflict-of-law principles, except where mandatory local law applies. You agree that the state and federal courts located in Georgia will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services, and you consent to personal jurisdiction and venue in those courts, except where mandatory local law provides otherwise.

17. Changes

We may modify these Terms by posting an updated version on this page. Material changes become effective when posted unless otherwise stated. Continued use constitutes acceptance.
